Job purpose:
To assist the Group Company Secretary in ensuring that the Company Secretariat runs smoothly, that appropriate legal and statutory compliance is maintained and that an efficient service is provided to our Boards, Board Committees and a number of key management Committee.
Responsibilities and Accountabilities:
- Deputising for the Company Secretary as and when required;
- Acting as the lead company secretary for Business areas, as directed by the Group Company Secretary, providing company secretarial services and governance/technical guidance;
- Assisting with the statutory and regulatory administration of the Ardonagh Group, its subsidiary companies and committees, including ensuring compliance with statutory filings, Annual Returns, Report and Accounts, filing of resolutions adopted at General Meetings/and any other filings required to be made with Companies House or with any other statutory authority;
- Maintaining information held on Blueprint, the Company Secretariat database;
- Providing company secretarial support for Board Meetings, General Meetings and Committee Meetings;
- Keeping up to date with developments in Company Law, Corporate Governance and any relevant Shareholder Deed requirements;
- Producing an Annual Timetable of key events in the Company Secretarial calendar, keeping the timetable up-to-date and reissuing on an annual basis;
- Undertaking miscellaneous administrative duties and tasks.
Skills and Qualifications:
- Advanced skills in Word, Excel, Outlook, Diligent and Blueprint Secretariat Software (the latter two are desirable but not essential as training will be provided);
- Experience with providing full company secretarial support to Boards and/or Committees (experience in the financial services sector preferred but not essential);
- Excellent minute writing skills;
- Excellent inter-personal and communication and stakeholder management skills;
- Self-motivated, proactive and team focussed approach;
- Highly methodical and organised, with an ability to work under pressure and within tight deadlines, whilst maintaining accuracy and a high quality output;
- An ability to maintain confidentiality with a high degree of discretion; and
- Ability to absorb and digest technical knowledge and complex data;
- Educated to degree level or equivalent and qualified in the Institute of Chartered Secretaries and Administrators qualification;

- Adherence to Company Secretariat standards and timetable;
- Contributing to the continuous improvement in the quality and efficiency of the delivery of company secretarial services;
- Anticipates and identifies Board Members’, Committee Members’, Executive Committee Members’ and others’ needs/requirements and takes action to meet these and continually searches for ways to improve the service provided by the Company Secretarial function;
- Demonstrates sound business and professional ethics and acts with the utmost tact and diplomacy, maintaining confidentiality as appropriate.

This is your chance to voice your thoughts on the role and we will outline our expectations and ensure this role aligns with your ambitions for the future.
- Depending on the role, you may be invited to attend a second stage interview with further members of the team.
